Terms and Conditions

1. Acceptance of Terms
By accessing or using the Platform, you agree to be legally bound by these Terms and Conditions ("Terms").
If you do not agree, you must not use the Platform.
2. Description of Services
The Company provides a web-based dental laboratory management system allowing:
- Case submissions
- File uploads
- Communication with laboratory personnel
- Invoicing and tracking
- Administrative management tools
All services are provided subject to these Terms.
3. Third-Party Hosting Disclaimer
The Platform is hosted and operated on infrastructure provided by Base44. Users acknowledge and agree:
- Base44 is an independent third party.
- The Company does not own or control the hosting infrastructure.
- Infrastructure uptime, security, backups, and system integrity are under Base44's control.
4. Data Breach and Cybersecurity Allocation
To the fullest extent permitted by law:
- Any data breach, unauthorized access, cyberattack, or system compromise occurring at the hosting or infrastructure level shall be the sole responsibility of Base44.
- The Company disclaims liability for infrastructure-level breaches.
- Users agree that claims relating to hosting-level security failures must be directed to Base44.
- Nothing herein waives rights that cannot be legally waived.
5. User Responsibilities
Users agree to:
- Maintain confidentiality of login credentials
- Ensure lawful disclosure of patient information
- Comply with HIPAA and applicable healthcare laws
- Refrain from uploading unlawful or malicious content
Users are solely responsible for the legality and accuracy of submitted data.
6. No Warranty
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."
The Company makes no warranties, express or implied, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Continuous or error-free service
The Company does not warrant that the Platform will be uninterrupted or secure.
7. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for:
- Indirect, incidental, consequential, or punitive damages
- Loss of data
- Loss of revenue or profits
- Service interruptions
- Cybersecurity events originating from Base44 infrastructure
Total liability shall not exceed the amount paid by the user in the preceding twelve (12) months.
8. Indemnification
Users agree to indemnify and hold harmless the Company, its officers, directors, and employees from any claims arising out of:
- Violation of these Terms
- Breach of healthcare regulations
- Improper handling of patient data
- Misuse of the Platform
9. Termination
The Company may suspend or terminate access at its discretion for violation of these Terms.
10. Force Majeure
The Company shall not be liable for delays or failures caused by events beyond its reasonable control, including hosting outages, cyber incidents, or third-party infrastructure failures.
11. Governing Law and Venue
These Terms shall be governed by the laws of the State of Tennessee. Venue shall lie exclusively in the courts located in Tennessee.
12. Severability
If any provision is found unenforceable, the remaining provisions shall remain in effect.
